Common use of Termination for Cause, or Other Than for Good Reason or Retirement Clause in Contracts

Termination for Cause, or Other Than for Good Reason or Retirement. If Executive’s employment is terminated either by Company for Cause, or voluntarily by Executive (other than for Retirement or Good Reason) following a Change in Control, Company shall pay Executive his full Base Salary and accrued vacation through the Termination Date, at the rate then in effect, plus all other amounts to which such Executive is entitled under any compensation plans of Company, at the time such payments are due, and Company shall have no further obligations to such Executive under this Agreement.

Termination for Cause, or Other Than for Good Reason or Retirement. If Following a Change in Control of the Company, if the Executive’s employment is terminated either either: (a) by the Company for Cause, ; or voluntarily (b) by the Executive (other than for Retirement or Retirement, Good Reason, or under circumstances giving rise to a Qualifying Termination described in Section 3.2(c) following a Change in Controlherein), the Company shall pay the Executive his his/her full Base Salary and accrued vacation through the Termination DateEffective Date of Termination, at the rate then in effect, plus all other amounts to which such the Executive is entitled under any compensation plans of the Company, at the time such payments are due, and the Company shall have no further obligations to such the Executive under this Agreement.
