Common use of Termination for Cause or Resignation Clause in Contracts

Termination for Cause or Resignation. If the Employee's employment hereunder is terminated by the Company for Cause pursuant to Section 5(a)(iii) or due to the Employee's resignation pursuant to Section 5(a)(v), the Company shall pay or provide to the Employee (i) all base salary pursuant to Section 3(a) hereof and any vacation pay pursuant to Section 3(g) hereof, in each case which has been earned but unpaid as of the Termination Date; and (ii) any benefits to which the Employee may be entitled under any employee benefits plan, policy or arrangement pursuant to Section 3(b) hereof in which he/she is a participant in accordance with the written terms of such plan, policy or arrangement up to and including the Termination Date.

If the Employee's ’s employment hereunder is terminated by the Company for Cause pursuant to Section 5(a)(iii) or due to the Employee's ’s resignation pursuant to Section 5(a)(v) (except if such resignation is for Good Reason in connection with a Change in Control), the Company shall pay or provide to the Employee (i) all base salary pursuant to Section 3(a) hereof and any vacation pay pursuant to Section 3(g3(d) hereof, in each case which has been earned but unpaid as of the Termination Date; and (ii) any benefits to which the Employee may be entitled under any employee benefits plan, policy or arrangement pursuant to Section 3(b3(f) hereof in which he/she Employee is a participant in accordance with the written terms of such plan, policy or arrangement up to and including the Termination Date.
