Common use of Termination for Cause; Resignation Without Good Reason; Death or Disability Clause in Contracts

Termination for Cause; Resignation Without Good Reason; Death or Disability. (i) The Company may terminate Executive’s employment with the Company at any time for Cause. Further, Executive may resign at any time without Good Reason. Executive’s employment with the Company may also be terminated due to Executive’s death or disability. (ii) If Executive resigns without Good Reason, or the Company terminates Executive’s employment for Cause, or upon Executive’s death or disability, then (i) Executive will no longer vest in the Option, (ii) all payments of compensation by the Company to Executive hereunder will terminate immediately (except as to amounts already earned), and (c) Executive will not be entitled to any severance benefits, including (without limitation) the Severance, COBRA Premiums, Special Cash Payments or Accelerated Vesting.

Further, Executive may resign at any time without Good Reason. Executive’s employment with the Company may also be terminated due to Executive’s death or disability. (ii) If Executive resigns without Good Reason, or the Company terminates Executive’s employment for Cause, or upon Executive’s death or disability, then (ia) Executive will no longer vest in the Optionany equity interests that are subject to vesting, (iib) all payments of compensation by the Company to Executive hereunder under this Agreement will terminate immediately (except as to amounts already earned), and (c) Executive will not be entitled to any severance benefitsbenefits hereunder, including (without limitation) the Severance, COBRA Premiums, Special Cash Payments or Accelerated Vesting.

(ii) If Executive resigns without Good Reason, or the Company terminates Executive’s employment for Cause, or upon Executive’s death or disabilityDisability, then (i) Executive will no longer vest in the Option, (ii) all payments of compensation by the Company to Executive hereunder will terminate immediately (except as to amounts already earned), and (cii) Executive will not be entitled to any severance benefits, including (without limitation) the Severance, COBRA Premiums, Special Cash Payments the Change of Control Severance or Accelerated Vestingthe COC COBRA Premiums.

Further, Executive may resign at any time without Good Reason. Executive’s employment with the Company may also be terminated due to Executive’s death or disability. Any such termination shall be referred to herein as a “Non-Qualifying Termination.” (ii) If Executive resigns without Good Reasonis subject to a Non-Qualifying Termination, or the Company terminates Executive’s employment for Cause, or upon Executive’s death or disability, then (ia) Executive will no longer vest cease vesting in the Optionall equity awards, (iib) all payments of compensation by the Company to Executive hereunder will terminate immediately (except as to amounts already earned), and (c) Executive will not be entitled to any severance benefits, including (without limitation) the SeveranceSeverance Benefits or CIC Severance Benefits, COBRA Premiums, Special Cash Payments or Accelerated Vestingunless required by law.
