Termination for Cause; Voluntary Resignation when Grounds Exist for Cause. If Executive’s employment with the Company and its Subsidiaries is terminated (x) by the Company or any of its Subsidiaries for Cause, or (y) by Executive either (1) at a time when grounds exist for a termination for Cause or (2) prior to a Change of Control, then the purchase price per Unit will be the lesser of (A) Fair Market Value (measured as of the Repurchase Notice Date) and (B) Cost;
