Termination for Change in Control. Minimum Net Sales. Except as set forth in Section 8.1, this Agreement may be terminated by Principal upon 120 days prior written notice to Agent after the occurrence of any of the following events: (i) a material change in the management, ownership or control or Agent; or (ii) the aggregate Net Invoice Price or the Products sold by Agent in the Territory in the relevant Contract Period is less than the Minimum Net Sales Target.
