Termination for Failure to Close before the Termination Date. If the Effective Date has not occurred within 180 days after the Execution Date (the “Termination Date”), then this Agreement may be terminated by either Party upon written notice to the other. In such event, neither Party shall have any further obligations under this Agreement, except for such Party’s obligations of non-disclosure pursuant to ARTICLE 11, which shall survive for the period set forth therein. Notwithstanding the foregoing, a Party’s right to terminate this Agreement under this Section 10.3.1(b) shall not be available to any Party that knowingly fails (whether by act or omission) to fulfill any obligation under this Agreement or the Stock Purchase Agreement, which failure causes or results in the failure to consummate the transactions contemplated hereby prior to the Termination Date.   • Termination for Failure to Close This Agreement shall automatically be terminated if the Closing Date shall not have occurred by March 15, 2018; provided, that the right to terminate this Agreement pursuant to this Section 7.2 shall not be available to any Party whose breach of any provision of this Agreement results in the failure of the Closing to have occurred by such time.

  • Termination Period This Option shall be exercisable for three (3) months after Participant ceases to be a Service Provider, unless such termination is due to Participant’s death or Disability, in which case this Option shall be exercisable for twelve (12) months after Participant ceases to be a Service Provider. No payment will be made pursuant to Section 5.a.(ii) unless the Executive has signed an agreement, in a form acceptable to Employer, that releases and holds Employer harmless from all known and unknown claims and liabilities arising out of Executive’s employment with Employer or the performance of this Agreement (“Release Agreement”) and the Release Agreement has become irrevocable prior to the payment date.
