Common use of Termination for Good Reason or Without Cause Clause in Contracts

Termination for Good Reason or Without Cause. In the event Executive terminates his employment with the Company for Good Reason or the Company terminates Executive's Employment for any reason other than for Cause or Disability, in either case at any time prior to the expiration of the Term of Employment, Executive shall be entitled to the following payments and benefits:

In If the event Executive terminates his employment with the Company for Good Reason or the Company terminates Executive's Employment for any reason employment hereunder is terminated by the Employer other than for Cause cause (and other than a termination due to disability or Disabilitydeath) or by the Executive for good reason, in either case at any time prior the Employer shall pay or provide to the expiration or on behalf of the Term of Employment, Executive shall be entitled to the following payments and benefitsfollowing:

In If, during the event Employment Term, the Executive terminates his employment with the Company for Good Reason or the Company terminates Executive's Employment for any reason employment is terminated by the Company without Cause, (other than for Cause Disability), the Company shall have no liability or Disability, in either case at any time prior further obligation to the expiration of Executive except that the Term of Employment, Executive shall be entitled to the following payments and benefitsreceive:

In If the event Executive's employment is terminated (1) by the Executive terminates his employment with the Company for Good Reason (as defined in Exhibit C attached hereto) or (2) by the Company terminates Executive's Employment for any reason other than for Cause or Disabilitywithout Cause, in either case at any time prior to lieu of further salary for subsequent periods the expiration of the Term of Employment, Executive shall be entitled to the following payments and benefits:
