Termination for Lack of Appropriation. 1. Funding for this Agreement beyond the current appropriation year is conditional upon appropriation by the County Council of sufficient funds to support the activities described in this Agreement. Should such an appropriation not be approved, the Agreement will terminate at the close of the current appropriation year. The appropriation year ends on December 31 of each year. If expected or actual funding is withdrawn, reduced or limited in any way prior to the termination date set forth in this Agreement, or in any amendment hereto, the County may, upon written notice to the Consultant, terminate this Agreement in whole or in part. In accordance with King County Code 4.04.040, payment shall not exceed the appropriation for the year in which termination is effected. 2. If the Agreement is terminated for non-appropriation: a. The County shall only be liable for payment in accordance with the terms of this Agreement for work satisfactorily completed prior to the effective date of termination; and b. The Consultant shall be released from any obligation to provide further services pursuant to the Agreement as are affected by the termination. 3. Upon receipt of a termination notice the Consultant shall at no additional cost to the County: a. Promptly discontinue all services affected (unless the notice directs otherwise); b. Terminate all subcontracts to the extent they relate to the work terminated; and c. No later than thirty (30) calendar days after receipt of termination, promptly deliver or otherwise make available to the County all data, drawings, electronic drawing files, specifications, calculations, reports, estimates, summaries, Official Project Documentation, other project documentation, and such other information and materials as the Consultant may have accumulated in performing this Agreement, whether completed or in progress and all equipment/materials purchased specifically for the project where the County has paid the Consultant for such items. 4. Upon termination, the County may take over the work and prosecute the same to completion by agreement.
