Common use of Termination for Other Clause in Contracts

Termination for Other. Corporation may terminate this Agreement immediately without further or written notice to the Consultant: (i) by reason of the death of Txx Xxxxxxx or inability of Txx Xxxxxxx or the Consultant perform the Services for a period of greater than ten (10) days; (ii) if the Consultant or any employee of the Consultant engages in conduct that tends to damage the Corporation’s goodwill or reputation for which the Consultant has been put on written notice; or (iii) if the Consultant becomes a participant in, or subject to, any legal proceedings where it is alleged that the Consultant has committed gross negligence, fraud, conversion or wrongful death.
