Termination for Violation of Agreement. If the Covered Entity determines that Business Associate has violated a material term of this Agreement with respect to Protected Health Information it receives from, or creates or receives on behalf of, the Covered Entity, this Agreement may be terminated by the Covered Entity effective upon Business Associate’s receipt of written notice from the Covered Entity, provided that Business Associate will continue to comply with Section 6.3 after termination of this Agreement.

If the Covered Entity Entity, in its sole discretion, determines that Business Associate has violated a material term of this Agreement with respect to Protected Health Information it receives from, or creates or receives on behalf of, the Covered Entity, this Covered Entity shall provide a reasonable opportunity for Business Associate to end the violation. This Agreement may be terminated by the Covered Entity effective upon Business Associate’s receipt of written notice from Covered Entity if Business Associate does not end the violation within the time specified by Covered Entity, provided that Business Associate will continue to comply with Section 6.3 after termination of this Agreement.
