Common use of Termination of Advisory Agreement Clause in Contracts

Termination of Advisory Agreement. This Agreement shall terminate immediately if (a) BX REIT Advisors L.L.C. or another affiliate of Licensor is no longer acting as adviser (any such entity, the “Adviser”) to Licensee under the Advisory Agreement, dated as of August 31, 2016 (as the same may be amended, modified or otherwise restated, the “Advisory Agreement”), or a similar agreement, or (b) if the Adviser is no longer an affiliate of Licensor. Upon notification of termination or non-renewal of the Advisory Agreement by Licensee to Adviser, Licensor may elect to effect termination of this Agreement immediately at any time after 30 days from date of such notification.

Termination of Advisory Agreement. This Agreement shall terminate immediately upon written notice from the Licensor if (a) BX REIT Advisors L.L.C. Oaktree Fund Advisors, LLC or another affiliate of Licensor is no longer acting as adviser (any such entity, the “Adviser”) to Licensee under the Advisory Agreement, dated as of August 31April 11, 2016 2018 (as the same may be amended, modified or otherwise restated, the “Advisory Agreement”), or a similar agreement, or (b) if the Adviser is no longer an affiliate of Licensor. Upon notification of termination or non-renewal of the Advisory Agreement by Licensee to Adviser, Licensor may elect to effect termination of this Agreement immediately at any time after 30 days from the date of such notification.

Upon notification of termination or non-renewal of the Advisory Agreement by Licensee to AdviserAdvisor, Licensor may elect to effect termination of this Agreement immediately at any time after 30 thirty (30) days from date of such notification.
