Common use of Termination of Agreement and Sharing Period Clause in Contracts

Termination of Agreement and Sharing Period. If a party to this Agreement (“Breaching Party”) materially breaches this Agreement, then the other party (the “Terminating Party”) may give the Breaching Party written notice of such breach, setting forth the nature of such breach in reasonable detail. If the Breaching Party fails to cure such breach within thirty (30) days of its receipt of such notice of breach from the Terminating Party, then the Terminating Party may, at its option, either (i) terminate this Agreement or (ii) terminate only the Sharing Period, effective immediately upon giving the Breaching Party a written notice of termination. .Nothing in this Section 10 is intended to limit any other rights or remedies that a party to this Agreement may have at law or equity for a breach of this Agreement by the other party.
