TERMINATION OF AGREEMENT WITH MATERIAL CAUSE. Either party, as appropriate, may terminate this Agreement for material cause as set forth in Sections 7.01.01 or 7.01.02, hereof subject to the notice and cure periods set out in Section 7.02 hereof, if applicable. In the event either party seeks to so terminate this Agreement, the terminating party shall give written notice of termination stating the actions of the other party constituting material cause for termination.
