Termination of All Existing Agreements. Except as otherwise expressly provided herein, all rights and obligations of the Company and Employee under any employment agreement Employee may have had with the Company, and any other agreement, arrangement, obligation or understanding between the Company and Employee are hereby cancelled and terminated as of the Termination Date without liability of any party thereunder.

Termination of All Existing Agreements. Except as otherwise expressly provided herein, all rights and obligations of the Company and Employee under any employment agreement Employee may have had with the Company, and any other agreement, arrangement, obligation or understanding between the Company and Employee (other than the Indemnification Agreement and any other rights to indemnification provided to Employee under any agreement or other obligation of the Company) are hereby cancelled and terminated as of the Termination Retirement Date without liability of any party thereunder.
