Termination of any pre-existing Equity Rights. The Securityholder hereby forever waives any rights that it may have pursuant to any security of the Company (except for the Exchange Securities) and any agreement with the Company, relating thereto, whether or not such agreement is referenced herein, to acquire any equity interest in the Company, other than as is delivered to the Securityholder hereunder. Without limitation, the Securityholder is irrevocably and forever waiving any of its preemptive rights, participation rights, rights of co-sale or first refusal, registration rights, or any other similar rights that the Securityholder may have pursuant to any Debt Instrument or Credit Instrument, which rights (if any) are hereby forever terminated.

  • Termination of Existing Tax Sharing Agreements Any and all existing Tax sharing agreements (whether written or not) binding upon the Company shall be terminated as of the Closing Date. After such date neither the Company nor any of its Representatives shall have any further rights or liabilities thereunder.

  • Grantee’s Pre-Existing Works A. To the extent that Grantee incorporates into the Work Product any works of Grantee that were created by Grantee or that Grantee acquired rights in prior to the Effective Date of this Grant Agreement (“Incorporated Pre-existing Works”), Grantee retains ownership of such Incorporated Pre-existing Works. B. Grantee represents, warrants, and covenants to System Agency that Grantee has all necessary right and authority to grant the foregoing license in the Incorporated Pre- existing Works to System Agency.

  • Termination of Existing Agreement The Existing Agreement is hereby terminated and replaced and superseded by this Agreement, effective August 1, 2001. All payments, of Base Salary or otherwise, made by the Company under the Existing Agreement with respect to any period commencing on or after August 1, 2001 shall be credited against the corresponding payment obligations of the Company under this Agreement.
