Termination of Certain Intercompany Debt. At or prior ---------------------------------------- to the Closing, Parent shall release, cancel and terminate (in any manner determined by Parent and reasonably satisfactory to Buyer) all intercompany Indebtedness for Borrowed Money (other than for out-of-pocket fees and expenses incurred by Parent for legal services performed on behalf of any Company unrelated to the transactions contemplated by this Agreement, which are included in the computation of Target Net Working Capital and will be included in the computation of Net Working Capital) owed by any Company to Parent or any of its Affiliates as of the Closing Date, and Parent shall cause each of the Companies to release, cancel and terminate (in any manner determined by Parent and reasonably satisfactory to Buyer) all intercompany Indebtedness for Borrowed Money owed by Parent or any of its Affiliates to such Company.
