Common use of Termination of CIP Agreement Clause in Contracts

Termination of CIP Agreement. The Access Provider may terminate this Agreement or certain Wholesale Tower Co-location Services provided by the Access Provider under or in connection with this Agreement (at the Access Provider’s sole discretion) with immediate effect by giving notice to the Registered Access Seeker, if the CIP Agreement is terminated. In the event of such termination, the Access Provider will make a pro rata refund to the Registered Access Seeker of any Annual Co-location Charge paid in advance for the impacted Wholesale Tower Co-location Service(s) but only if and to the extent such service has not been received by the Registered Access Seeker as at the effective date of termination of this Agreement. For the avoidance of doubt there will be no refund (partial or otherwise) of any Design & Build Process Charges in the event of such termination.
