Termination of Closing. If the Closing has not occurred on or prior the Closing Date, those sections and provisions relating to the Closing in this Agreement may be terminated by the action of the Board of Directors of the Company or by any one or more of the Purchasers as long as the failure to consummate the Closing is not the fault of the terminating party.
