Common use of Termination of Credit Facility Clause in Contracts

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a).

Termination of Credit Facility. The Credit Facility shall terminate and all outstanding Obligations shall be paid in full on the earliest of (a) the third anniversary Final Maturity Date of the Closing Date (the "Maturity Date")Term Loan, (b) the date of termination by the Borrower pursuant to Section 2.5(a) and 8.2(a), or (c) the date of termination by the Administrative Agent on behalf any early prepayment of the Lenders pursuant to Section 10.2(a)Loan and termination of the Credit Facility by Borrower.

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")September 30, 2004, (b) the date of termination by permanent reduction of the Borrower Aggregate Commitment in whole pursuant to Section 2.5(a) 2.6 and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")January 15, 2009, (b) the date of termination by the Borrower pursuant to Section 2.5(a) and 2.7 or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

The Credit Facility shall terminate on the earliest earlier of (a) the third anniversary of the Closing Date (the "Maturity Date"), and (b) the date of termination by the Borrower pursuant to Section 2.5(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")February 17, 2002, (b) the date of termination by the Borrower pursuant to Section 2.5(a) 2.5, and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Termination Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) ), and (c) the date of termination by the Administrative Agent Lender on behalf of the Lenders pursuant to Section 10.2(a)11.2.

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")Auguxx 0, 0000, (bx) the xxx date of termination by the Borrower pursuant to Section 2.5(a) 2.5(b), and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

The Credit Facility shall terminate on the earliest earlier of (a) the third second anniversary of the Closing Date (the "Maturity Date"), and (b) the date of termination by the Borrower pursuant to Section 2.5(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")April __, 2002, (b) the date of termination by a permanent reduction of the Borrower Aggregate Commitment in whole pursuant to Section 2.5(a2.7(a) or Section 2.7(b), and (c) the date of termination by in accordance with the Administrative Agent on behalf provisions of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")January 31, 2005; (b) the date of termination by the Borrower Borrowers pursuant to Section 2.5(a) and 2.6(a); (c) the occurrence of an event in Section 11.1(j) or (k); or (d) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a) (the "Termination Date").

Termination of Credit Facility. The Credit Facility shall terminate on the earliest earlier of (ai) the third anniversary of the Closing Date Revolving Loan Termination Date; (the "Maturity Date"), (bii) the date of termination termination, whether automatically or by the Borrower pursuant to Section 2.5(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders Revolving Credit Lenders, pursuant to Section 10.2(a11.2 (a); or (iii) on such prior date as the Borrower, by notice to the Agent, shall have repaid the Obligations in full.

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")December 31, 2006, (b) the date of termination by permanent reduction of the Borrower Aggregate Commitment in whole pursuant to Section 2.5(a) and 3.5, or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a12.2(a). The termination of the Credit Facility shall not affect the survival of any of provision of this Agreement, the Existing Credit Agreement or the other Loan Documents which by its terms is intended to survive such termination.

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")July 22, 2010 and (b) the date of termination by the Borrower pursuant to Section 2.5(a) and 2.6 or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")January 15, 2006, (b) the date of termination by the Borrower pursuant to Section 2.5(a) and 2.7 or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")December __, 2002, (b) the date of termination by a permanent reduction of the Borrower Aggregate Commitment in whole pursuant to Section 2.5(a) 2.9(a), and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate without further action on the part of the Lender on the earliest to occur of (ai) the third anniversary of the Closing Date (the "Maturity Date"), and (bii) the date of termination by of the Borrower Credit Facility pursuant to Section 2.5(a) and 7.02 (c) such earliest date being referred to herein as the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a“Credit Termination Date”).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")November 6, 2006, (b) the date of termination by the Borrower Borrowers pursuant to Section 2.5(a) or Section 2.5(c) (by reduction of the Aggregate Commitment to zero), and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a12.2(a).

Termination of Credit Facility. The Credit Facility (subject to Section 2.2(a) with respect to Swingline Loans) shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")September 30, 2001, (b) the date of termination by the Borrower Borrowers pursuant to Section 2.5(a2.6(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a12.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")December 31, 2004, (b) the date of termination by permanent reduction of the Borrower Aggregate Commitment in whole pursuant to Section 2.5(a) and 3.5, or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a12.2(a). The termination of the Credit Facility shall not affect the survival of any of provision of this Agreement, the Existing Credit Agreement or the other Loan Documents which by its terms is intended to survive such termination.

Termination of Credit Facility. Termination of Credit Facility. The Credit Facility CREDIT FACILITY shall terminate on the earliest of of: (a) the third anniversary of the Closing Date (the "Maturity Date")May 31, 2000; (b) the date of termination by the Borrower BORROWER pursuant to Section 2.5(a) Subsection 2.5.(a); and (c) the date of termination by the Administrative Agent ADMINISTRATIVE AGENT on behalf of the Lenders LENDERS pursuant to Section 10.2(aSubsection 11.2.(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third second anniversary of the Closing Date (the "Maturity Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) ), and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a).

Termination of Credit Facility. The Credit Facility shall terminate and all outstanding Obligations shall be paid in full on the earliest of (a) the third anniversary of the Closing Date (the "Final Maturity Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) 2.5, and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of date that is 364 days following the Closing Date (the "Maturity Date"), (b) the date the aggregate principal amount of termination by the Borrower Term Loan Commitments shall be permanently reduced to zero pursuant to Section 2.5(a) and 2.6, (c) the date the Transaction has been consummated without use of the Credit Facility and (d) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate and all outstanding Obligations shall be paid in full on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) 2.5, and (c) the date of termination by the Administrative Agent on behalf of the Lenders Lender pursuant to Section 10.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. Termination of Credit Facility. The Credit Facility (subject to Section 2.2(a) with respect to Swingline Loans) shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")December 19, 2002, (b) the date of termination by the Borrower Borrowers pursuant to Section 2.5(a2.6(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a12.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date"), (b) the date of termination by the Borrower pursuant to Section 2.5(a) and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary Marcx 00, 0000, (x) xxx date of permanent reduction of the Closing Date (the "Maturity Date"), (b) the date of termination by the Borrower Aggregate Commitment in whole pursuant to Section 2.5(a) and 2.5, or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")August 22, 2018, (b) the date of termination by the Borrower Company pursuant to Section 2.5(a) and 2.6 or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a8.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")November 21, 2007 and (b) the date of termination by the Borrower pursuant to Section 2.5(a) and 2.6 or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")October 28, 2009, (b) the date of termination by the Borrower Borrowers pursuant to Section 2.5(a) and 2.6 or (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).

Termination of Credit Facility. The Credit Facility shall terminate on the earliest of (a) the third anniversary of the Closing Date (the "Maturity Date")September __, 2001, (b) the date of termination by the Borrower pursuant to Section 2.5(a) ), and (c) the date of termination by the Administrative Agent on behalf of the Lenders pursuant to Section 10.2(a11.2(a).
