Common use of Termination of Employment by Company Clause in Contracts

Termination of Employment by Company. (a) The Company may terminate the Executive’s employment at any time with Cause. In such event, the Company shall continue to pay to the Executive in the ordinary and normal course of its business his Salary and earned Warrants and Shares (subject to applicable payroll and/or other taxes required by law to be withheld) through the Termination Date set forth in the Termination Notice. (b) The Company may terminate the Executive’s employment at any time without Cause. In such event, (i) the Company shall continue to pay to the Executive in the ordinary and normal course of its business his Salary (subject to applicable payroll and/or other taxes required by law to be withheld) through the Termination Date set forth in the Termination Notice and (ii) the Company shall continue to pay to the Executive a salary at the rate of One Hundred & Eighty Thousand Dollars ($180,000.00) per annum (subject to applicable payroll and/or other taxes required by law to be withheld) for a period of six months subsequent to the Termination Date set forth in the Termination Notice and (iii) all Warrants and Shares as defined in this Agreement shall vest on the Termination Date.
