Termination of Employment for Other Than Cause, or by Executive for Good Reason. In the event the Company terminates the Executive’s employment for any reason other than for Cause, or Executive voluntarily resigns for Good Reason (both terms as defined in the Employment Agreement, as the same may be amended from time to time), all Unvested Units shall immediately become Vested Units and thereafter this Award may be settled pursuant to Section 4 below with respect to the number of Vested Units held by the Executive.
