Common use of Termination of Employment Period Clause in Contracts

Termination of Employment Period. This Agreement and the employment of the Executive shall terminate upon the occurrence of any of the following: 4.1 Expiration of the Employment Period by notice of non-renewal in accordance with Section 1; 4.2 At the election of the Company for Cause (as defined below), immediately upon written notice by the Company to the Executive, which notice shall identify the Cause upon which the termination is based; 4.3 At the election of the Executive for Good Reason (as defined below), pursuant to the provisions set forth below; 4.4 Upon the death or Disability (as defined below) of the Executive; 4.5 At the election of the Company without Cause, upon not less than fifteen (15) days’ prior written notice of termination (the “Notice Period”), provided, however, that the Company may, in its sole discretion, in lieu of all or part of the Notice Period, pay the Executive an amount equal to the Base Salary that would otherwise have been payable to the Executive had the Executive remained employed for the duration of the Notice Period (in which case the Executive’s termination will become effective on the date set forth in the Company’s written notice of termination (the “Early Termination Date”), and the Executive will be paid an amount equal to the Base Salary the Executive would have received had the Executive remained employed by the Company between the Early Termination Date and the end of the Notice Period (the “Early Termination Payment”), with the Early Termination Payment to be made no later than the 30th day following the end of the Notice Period); or 4.6 At the election of the Executive without Good Reason, upon not less than fifteen (15) days’ prior written notice of termination.

Termination of Employment Period. This Agreement and the employment of the Executive shall terminate upon the occurrence of any of the following: 4.1 5.1 Expiration of the Employment Period by notice of non-renewal in accordance with Section 1; 4.2 5.2 At the election of the Company for Cause (as defined below)Cause, immediately upon written notice by the Company to the Executive (subject, if applicable, to the Executive’s right to cure as provided in Section 12.1(c)), which notice shall identify the Cause upon which the termination is based; 4.3 5.3 At the election of the Executive for Good Reason (as defined below), pursuant to the provisions set forth below; 4.4 5.4 Upon the death or Disability (as defined below) of the Executive; 4.5 5.5 At the election of the Company without Cause, upon not less than fifteen thirty (1530) days’ prior written notice of termination (the “Notice Period”), provided, however, that the Company may, in its sole discretion, in lieu of all or part of the Notice Period, pay the Executive an amount equal to the Base Salary that would otherwise have been payable to the Executive had the Executive remained employed for the duration of the Notice Period (in which case the Executive’s termination will become effective on the date set forth in the Company’s written notice of termination (the “Early Termination Date”), and the Executive will be paid an amount equal to the Base Salary the Executive would have received had the Executive remained employed by the Company between the Early Termination Date and the end of the Notice Period (the “Early Termination Payment”), with the Early Termination Payment to be made no later than the 30th day following the end of the Notice Period); or 4.6 5.6 At the election of the Executive without Good Reason, upon not less than fifteen (15) days’ prior written notice of termination.

Termination of Employment Period. 4.1 This Agreement and the employment of the Executive shall terminate upon the occurrence of any of the following: 4.1 a) Expiration of the Employment Period by notice of non-renewal in accordance with Section 1Period; 4.2 b) At the election of the Company for Cause (as defined below), immediately upon written notice by the Company to the Executive, which notice shall identify the Cause upon which the termination is based; 4.3 At the election of the Executive for Good Reason (as defined below)Cause, pursuant to the provisions set forth below; 4.4 c) At the election of the Executive for Good Reason, pursuant to the provisions set forth below; d) Upon the death or Disability (as defined below) of the Executive; 4.5 e) At the election of the Company without Cause, upon not less than fifteen thirty (1530) days’ prior written notice of termination (the “Notice Period”), provided, however, that the Company may, in its sole discretion, in lieu of all or part of the Notice Period, pay the Executive an amount equal to the portion of the Base Salary that would otherwise have been payable to the Executive had the Executive remained employed for the duration of the Notice Period (in which case the Executive’s termination will become effective on the date set forth in the Company’s written notice of termination (the “Early Termination Date”), and the Executive will be paid an amount equal to the portion of the Base Salary the Executive would have received had the Executive remained employed by the Company between the Early Termination Date and the end of the Notice Period (the “Early Termination Payment”), with the Early Termination Payment to be made no later than the 30th day following the end of the Notice Period); or 4.6 f) At the election of the Executive without Good Reason, upon not less than fifteen (15) days’ prior written notice of terminationtermination by the Executive. 4.2 For the avoidance of doubt, the Executive’s employment shall not be deemed to have terminated solely as a result of the Assignment or the Separation.

Termination of Employment Period.
