Common use of Termination of Franchise Agreement Clause in Contracts

Termination of Franchise Agreement. If the Franchise Agreement is terminated and Franchisee fails to perform any post-termination obligation under the Franchise Agreement, Franchisor may enforce the Franchise Agreement directly against Owner as if Owner were the Franchisee under the Franchise Agreement, and Owner will perform, or cause to be performed, all post-termination obligations of Franchisee under the Franchise Agreement, including, without limitation, Section 16.1 on indemnification, Section 19.3 on liquidated damages, Section 20.1.A. on de-identifying the Hotel as part of the System and cessation of the use of the System and Proprietary Marks, and Section 20.1.B. on paying other costs and amounts.
