Termination of Global Security. Definitive securities representing the Securities will only be issued in limited circumstances described under Section 3.05(c)(ii) of the Base Indenture, provided that the Company shall not have the option described under Section 3.05(c)(ii)(C) of the Base Indenture to determine in its sole discretion that the Global Security representing the Securities should be exchanged for definitive Securities.
