Common use of Termination of Guarantee Agreement Clause in Contracts

Termination of Guarantee Agreement. Notwithstanding any other provision of this Agreement, if at any time (a) no Subsidiary shall be liable for the New Bonds or any other Material Indebtedness (other than Indebtedness referred to in the first parenthetical in Section 6.01(a) or in clauses (i), (ii) or (iii) of Section 6.01(b)), whether as a primary obligor or as a Guarantor and (b) the Company shall have delivered to the Administrative Agent a certificate confirming that the condition set forth in the preceding clause (a) shall be satisfied simultaneously with the termination of the Guarantee Agreement, the Guarantee Agreement shall automatically terminate without any further action or consent by any party hereto or to the Guarantee Agreement.
