Common use of Termination of Particular State Clause in Contracts

Termination of Particular State. In addition, Bank may terminate the operation of the Plan in a particular state if the Applicable Law of the state or jurisdiction is amended or interpreted in such a manner so as to render all or any part of the Plan illegal or unenforceable, and in such event Bank will, if requested, assist Company with finding a new credit provider for such state. Bank will provide Company with as much advance notice of such termination as is reasonable under the circumstances.

In addition, upon thirty (30) days prior written notice, Bank may terminate the operation of the Plan in a particular state or jurisdiction if the Applicable Law of the state or jurisdiction is amended or interpreted by a court of competent jurisdiction or in good faith by Bank in such a manner so as to render all or any part of the Plan illegal or unenforceableunenforceable (in whole or in part), and in such event Bank will, if requested, assist Company Stage with finding a new credit provider for such state. Bank will provide Company with as much advance notice of such termination as is reasonable under the circumstancesstate or jurisdiction.
