Common use of Termination of Service other than for Cause Clause in Contracts

Termination of Service other than for Cause. If a Participant's Termination is pursuant to Section 4 of Article V of the Certificate of lncorporation of the Company or Section 2.2( d) of the Director Nomination Agreement made and entered into as of April 22, 2016 by and among the Company and certain parties identified therein, in either case, for a reason other than Cause (as defined herein) all RSUs that are held by such Participant at the time of the Participant's Termination that have not otherwise vested shall be immediately fully vested as of the date of such Termination.

If a Participant's ’s Termination is pursuant to Section 4 of Article V of the Certificate of lncorporation of the Company or Section 2.2( d2.2(d) of the Director Nomination Agreement made and entered into as of April 22, 2016 by and among the Company and certain parties identified therein, in either case, for a reason other than Cause (as defined herein) Cause, all unvested RSUs that are held by such Participant at the time of the Participant's Termination that have not otherwise vested shall be immediately fully vested as of the date of such Termination.

If a Participant's ’s Termination is pursuant to Section 4 of Article V of the Certificate of lncorporation of the Company or Company, Section 2.2( d2.2(d) of the Director Nomination Agreement made and entered into as of April 22, 2016 by and among the Company and certain parties identified therein, or otherwise in either connection with any Change in Control, in any such case, for a reason other than Cause (as defined herein) Cause, all unvested RSUs that are held by such Participant at the time of the Participant's Termination that have not otherwise vested shall be immediately fully vested as of the date of such Termination.

If a Participant's Termination is pursuant to Section 4 of Article V of the Certificate of lncorporation of the Company or Section 2.2( d) of the Director Nomination Agreement made and entered into as of April 22, 2016 by and among the Company and certain parties identified therein, in either case, for a reason other than Cause (as defined herein) all RSUs that are the Cash Incentive Award held by such Participant at the time of the Participant's Termination that have has not otherwise vested shall be immediately fully vested as of the date of such Termination.
