Common use of Termination of Share Exchange Agreement Clause in Contracts

Termination of Share Exchange Agreement. Notwithstanding anything to the contrary contained herein, in the event that the Share Exchange Agreement is terminated in accordance with its terms prior to the Closing, this Agreement and all rights and obligations of the parties hereunder shall automatically terminate and be of no further force or effect.

Termination of Share Exchange Agreement. Notwithstanding anything to the contrary contained herein, in the event The Parties hereby agree that (a) the Share Exchange Agreement is hereby terminated in accordance with its terms prior to the Closingentirety, this Agreement and all including, without limitation, any rights and obligations thereunder, whether or not such rights or obligations were intended to survive the termination of the parties hereunder Share Exchange Agreement, (b) such termination shall automatically terminate be retroactively effective on the Effective Date, and (c) and that as of the Effective Date the Share Exchange Agreement shall be of no further force or effect.
