Common use of Termination of Shareholders Agreement Clause in Contracts

Termination of Shareholders Agreement. Sellers, constituting all the parties to the Shareholders’ Agreement, (i) agree and acknowledge that the Shareholders’ Agreement will terminate automatically as of the Closing; and (ii) irrevocably waive any and all rights and/or recourse they may have under the Shareholders’ Agreement against A2iA, its officers and direct or indirect shareholders.

Termination of Shareholders Agreement. Termination of Shareholders Agreement. SellersSimultaneously with Closing, constituting all each of the parties to the Shareholders’ Shareholders Agreement shall procure that it is terminated and ceases to have effect from Closing and each Seller hereby releases and discharges the Purchaser and the Company from all claims or demands under or in connection with the Shareholders Agreement and no Seller shall be entitled to exercise any rights or make any claim against the Company under or in connection with the Shareholders Agreement, (i) agree and acknowledge that the Shareholders’ Agreement will terminate automatically as of the Closing; and (ii) irrevocably waive any and all rights and/or recourse they may have under the Shareholders’ Agreement against A2iA, its officers and direct or indirect shareholders.
