Common use of Termination of Tax Sharing Agreements Clause in Contracts

Termination of Tax Sharing Agreements. Parent, Company and Purchaser hereby agree and covenant that there are and will be no obligations relating to Company pursuant to any Tax sharing agreement or any similar arrangement, other than this Agreement, in effect at any time before or on the Closing Date, and any further obligations that might otherwise have existed thereunder shall be extinguished as of the Closing Date.
