Termination of the Buyer's Obligations. The Buyer shall have no obligations pursuant to this Section 5.11 with respect to: (a) any request or requests for registration made by any Seller on a date more than 3 years after the date of the Closing; or (b) any Cambex Shares proposed to be sold by a Seller in a registration pursuant to this Section 5.11 if, in the opinion of counsel to the Buyer, all such Cambex Shares proposed to be sold by a Seller may be sold in a 3-month period without registration under the Securities Act pursuant to Rule 144 under the Securities Act.
