Termination of UTI. In connection with the termination of the Titling Trust Agreement and the Titling Trust, upon the direction of the UTI Beneficiary and the consent of any pledgee of a UTI Pledge, the UTI shall be terminated and the UTI Certificates shall be returned to the Titling Trustee and canceled thereby.
