Termination or Non-Renewal Without Cause. The Company may terminate ---------------------------------------- Executive's employment hereunder at any time without cause, or give Executive notice that it does not intend to renew the Agreement (in either case the Employment Term shall be deemed to have ended), upon not less than 60 days' prior written notice to Executive; provided, however, that, in the event that such notice is given, Executive shall be under no obligation to render any additional services to the Company and subject to the provisions of Sections 2 and 3, shall be allowed to seek other employment. In addition, Executive shall be entitled to voluntarily terminate employment with the Company (and such termination shall be deemed a constructive termination) upon one or more of the following occurrences:
