Termination or Postponement by the Company. Notwithstanding anything herein to the contrary except in the case of a Demand Registration, at any time prior to the effectiveness of any registration statement filed pursuant hereto, the Company shall have the right, in its sole and absolute discretion, not to proceed with the registration of any securities pursuant to such registration statement and, in the event that the Company exercises such right, no Holder of Registrable Shares shall have any right to require the Company to register any such Registrable Shares except in accordance with the express provisions of this Agreement. In the case of a registration statement filed pursuant Section 2(a), at any time after the filing of such registration statement but prior to the effectiveness thereof, the Company shall have the right to postpone requesting that the Commission declare such registration statement effective:
