Termination Other Than For Cause or Resignation for Good Reason. If, other than during a Covered Period, Executive’s employment is subject to a Termination other than for Cause or a Resignation for Good Reason, then, in addition to the Minimum Benefits, the Employer shall provide Executive with the following benefits: (i) On the regularly scheduled payroll date coincident with or next following the 60th day following the Termination Date, Executive shall receive the Severance Amount, with such amount to be paid in lump sum, provided that Executive has executed and delivered a Release pursuant to the requirements of Section 5. (ii) Executive (and Executive’s dependents, as may be applicable) shall be entitled to the benefits described in Section 4(e).
