Termination Payment Period. The Termination Payment Period shall be the fraction of a year, if any, remaining from the date of termination to the first anniversary of the Effective Date.

If the Executive’s employment hereunder is involuntarily terminated by the Company other than for Cause (as defined herein) or Disability (as defined herein) prior to the end of the term of this Agreement, then termination payments shall be made for the balance of the term of this Agreement as defined in Section 2, and shall be paid in the manner set forth in Section 9(c) below.
