Common use of Termination Procedures Clause in Contracts

Termination Procedures. If Parent wishes to terminate this Agreement pursuant to Section 8.1(a) or Section 8.1(c), Parent shall deliver to the Company a written notice stating that Parent is terminating this Agreement and setting forth a brief description of the basis on which Parent is terminating this Agreement. If the Company wishes to terminate this Agreement pursuant to Section 8.1(b) or Section 8.1(d), the Company shall deliver to Parent a written notice stating that the Company is terminating this Agreement and setting forth a brief description of the basis on which the Company is terminating this Agreement.

Termination Procedures. If Parent wishes to terminate this Agreement pursuant to Section 8.1(a), Section 8.1(c) or Section 8.1(c8.1(e), Parent shall deliver to the Company a written notice stating that Parent is terminating this Agreement and setting forth a brief description of the basis on which Parent is terminating this Agreement. If the Company wishes to terminate this Agreement pursuant to Section 8.1(b), Section 8.1(d) or Section 8.1(d8.1(f), the Company shall deliver to Parent a written notice stating that the Company is terminating this Agreement and setting forth a brief description of the basis on which the Company is terminating this Agreement.

If Parent wishes to terminate this Agreement pursuant to Section 8.1(a) or Section 8.1(c8.1(b), Parent shall deliver to the Company Target Companies and the Founders a written notice stating that Parent is terminating this Agreement and setting forth a brief description of the basis on which Parent is terminating this Agreement. If the Company wishes Sellers wish to terminate this Agreement pursuant to Section 8.1(b8.1(a) or Section 8.1(d8.1(c), the Company Sellers shall deliver to Parent a written notice signed by the Sellers stating that the Company is Sellers are terminating this Agreement and setting forth a brief description of the basis on which the Company Sellers is terminating this Agreement.

If Parent wishes and Purchaser wish to terminate this Agreement pursuant to Section 8.1(a) or Section 8.1(c)10.1, Parent and Purchaser shall deliver to the Company a written notice stating that Parent is and Purchaser are terminating this Agreement and setting forth a brief description of the basis on which Parent is and Purchaser are terminating this Agreement. If the Company wishes to terminate this Agreement pursuant to Section 8.1(b) or Section 8.1(d)10.1, the Company shall deliver to Parent and Purchaser a written notice stating that the Company is terminating this Agreement and setting forth a brief description of the basis on which the Company is terminating this Agreement.

Termination Procedures. If Parent wishes to terminate this Agreement pursuant to Section 8.1(a) or Section 8.1(c), Parent shall will deliver to the Company and Sellers a written notice stating that Parent is terminating this Agreement and setting forth a brief description of the basis on which Parent is terminating this Agreement. If the Company wishes and a majority in interest of the Sellers wish to terminate this Agreement pursuant to Section 8.1(b) or Section 8.1(d), the Company shall and such Sellers will deliver to Parent a written notice stating that the Company is and Sellers are terminating this Agreement and setting forth a brief description of the basis on which the Company is and Sellers are terminating this Agreement.
