Termination Unrelated to a Change in Control. In the event of: (i) an involuntary termination of Executive’s employment by the Company for any reason other than Cause, death or Disability, or (ii) Executive’s resignation for Good Reason, and if there has been no involuntary termination of Executive’s employment arising in connection with a Change in Control, the Company shall provide Executive with the severance payments and other benefits described in Section 14 below, provided that Executive executes and does not revoke the Release (as defined in Section 12).

In the event of: (i) an involuntary termination of Executive’s employment by the Company for any reason other than Cause, death or Disability, or (ii) Executive’s resignation for Good Reason, and if there has been no involuntary termination of Executive’s employment arising in connection with a Change in Control, the Company shall provide Executive with the severance payments and other benefits described in Section 14 below, provided that Executive executes and 3 does not revoke apply, Executive shall be entitled to the Release benefits provided in subsection (as defined in b) of this Section 12)2.
