Common use of Termination upon Disability Clause in Contracts

Termination upon Disability. If the Employment Period is terminated in accordance with the terms of paragraph 5(c) because of Executive's Disability, the Company shall pay to Executive (or in the event of Executive's death after finding of Disability, his surviving spouse, or if he leaves no spouse, his personal representative, as successor in interest) all compensation and benefits specified under paragraph 4 herein, for a period of one year from the Date of Termination, payable in the same manner as if the Employment Period had not been terminated.

Termination upon Disability. If the Employment Period Executive's employment is terminated in accordance with by reason of the terms of paragraph 5(c) because of Executive's DisabilityDisability during the Term, this Agreement shall terminate without further obligations to the Company Executive, other than for (i) payment of Accrued Obligations (which shall pay be paid to the Executive in a lump sum in cash within 30 days of the Date of Termination) and (ii) the timely payment or provision of any and all Other Benefits, which under their terms are available in the event of Executive's death after finding of a Disability, his surviving spouse, or if he leaves no spouse, his personal representative, as successor in interest) all compensation and benefits specified under paragraph 4 herein, for a period of one year from the Date of Termination, payable in the same manner as if the Employment Period had not been terminated.

Termination upon Disability. If During the Employment Period is Term, Executive’s employment may be terminated in accordance with by Employer upon the terms Disability of paragraph Executive (provided that Employer shall give Executive at least 60 days prior written notice of its intent to terminate). For the avoidance of doubt, termination for Disability under this Section 5(c) because of Executive's Disability, the Company shall pay to Executive (or in the event of Executive's death after finding of Disability, his surviving spouse, or if he leaves no spouse, his personal representative, as successor in interest) all compensation and benefits specified under paragraph 4 herein, for a period of one year from the Date of Termination, payable in the same manner as if the Employment Period had not been terminatedbe considered termination without Cause.

If Company may terminate Executive’s employment under this Agreement at any time Executive is unable to perform the Employment Period essential functions of his position, with or without reasonable accommodation, as a result of a disability. In the event Executive’s employment is terminated in accordance with the terms as a result of paragraph 5(c) because of Executive's Disabilityhis disability, the Company shall pay to Executive the following: (or i) salary pursuant to Section 4(a) which otherwise would be payable to Executive through the end of the month in which his employment is terminated, and (ii) a prorata portion of his annual bonus opportunity pursuant to Section 6 in effect immediate preceding such termination, through the event end of Executive's death after finding of Disability, the month in which his surviving spouse, or if he leaves no spouse, his personal representative, as successor in interest) all compensation and benefits specified under paragraph 4 herein, for a period of one year from the Date of Termination, payable in the same manner as if the Employment Period had not been employment is terminated.
