Termination With Cause; Voluntary Termination. The Company may terminate this Agreement upon a determination that an event has occurred within the definition of Termination With Cause; provided, however, in the case of a Termination With Cause based upon clauses (a) or (b) of such definition, the Company shall provide Executive written notice of such grounds for termination. If Executive shall suffer Termination With Cause or shall cease being an employee of the Company on account of a Voluntary Termination, then:
