Termination with Respect to a Shareholder. Subject to the transfer restrictions set forth in the Investors’ Rights Agreement, upon the Transfer by any of the Investors or the Principal Holding Company of all of the Equity Securities of the Company registered in its name in accordance with the terms and conditions of the Investors’ Rights Agreement or an Investor or the Principal Holding Company otherwise ceasing to hold any Equity Securities of the Company, such Party (and with respect to the Principal Holding Company, the Principal Parties) shall automatically cease to be a party to this Agreement and shall have no further rights or obligations hereunder.
