Termination with Severance: Termination Without Cause; Resignation for Good Reason. In the event Executive’s employment with the Company is terminated by the Company without Cause (other than as a result of Executive’s death or disability), or Executive resigns his employment for Good Reason (either such termination referred to as a “Qualifying Termination”), then, (i) provided such termination constitutes a “separation from service” (as defined under Treasury Regulation Section 1.409A-1(h), without regard to any alternative definition thereunder, a “Separation from Service”), and (ii) subject to Paragraph 8 (“Conditions to Receipt of Severance Benefits”) and Executive’s continued compliance with the terms of this Agreement (including the Confidentiality Agreement), the Company shall provide Executive with severance benefits in accordance with the terms below (separately or collectively, the “Severance Benefits”):
