Common use of Termination Without Cause by the Company Clause in Contracts

Termination Without Cause by the Company. The Company may terminate the Executive’s employment at any time during the Term without Cause by delivering to the Executive a Notice of Termination 6 months in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth in the Notice of Termination.

Termination Without Cause by the Company. The Company may terminate the Executive’s 's employment hereunder at any time during the Term without Cause by delivering cause upon 30 days written notice to the Executive a Notice of Termination 6 months or pay in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth in the Notice of Terminationlieu thereof.

Termination Without Cause by the Company. (a) The Company may terminate the Executive’s employment of the Executive without just cause at any time during the Term without Cause by delivering to providing the Executive a Notice of Termination 6 months notice or pay in advance of the date of termination; provided that as part lieu of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth severance pay, if applicable, in the Notice amount of Termination.six (6) months’ Base Salary:

The date of termination employment shall be the date set forth in the Notice of Terminationterminate.

Termination Without Cause by the Company. The During the Term, the Company may terminate the Executive’s employment under this Agreement at any time during the Term and for any reason without Cause by delivering to the giving Executive a Notice of Termination 6 months written notice no less than ninety (90) calendar days in advance of the effective date of such termination; provided that as part of such notice . If the Company may request that terminates Executive’s employment pursuant to the provisions of this Section 5(b), Executive immediately tender shall receive the resignations contemplated by Section 4.8 compensation and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth benefits described in the Notice of TerminationSections 6(a) and 6(b) hereof.

Termination Without Cause by the Company. The Company may terminate the Executive’s 's employment at any time during time, without cause, upon written notice to Executive. In the Term without Cause by delivering event of termination pursuant to this paragraph, the Company shall pay the Executive a Notice his entire outstanding Base Annual Salary for the duration of Termination 6 months in advance of the Employment Period within ten (10) business days from the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth in the Notice of Termination.

Termination Without Cause by the Company. The Company may terminate the Executive’s employment for any reason other than Cause, death or Disability. At the Company’s sole discretion, such termination may be made effective immediately, may be effective at any time during the Term without Cause by delivering to the Executive a Notice of Termination 6 months later date as stated in advance of the date of termination; provided that as part of such notice with the requirement that Executive continue working through such stated date, or the Company may request that direct Executive not to report to work unless otherwise requested by the Executive immediately tender Company (the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth in the Notice of Termination“Garden Leave”).

Termination Without Cause by the Company. The Company may immediately terminate the Employment Term under this Agreement, at any time, without any cause or reason, upon ninety (90) days prior written notice to Executive. If Company chooses to terminate Executive's employment under this Section 12(b) by providing the appropriate notice, Company may opt to have Executive cease working at any time prior to the expiration of the ninety (90) day period so long as Company fully compensates Executive for the portion of time that Executive would have otherwise been paid during the remainder of the ninety (90) day notice period. The Company may terminate the Executive’s employment at any time during Employment Term under this provision notwithstanding the Term without Cause by delivering to the Executive a Notice existence of Termination 6 months in advance of the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder. The date of termination shall be the date set forth in the Notice of Terminationcause.

Termination Without Cause by the Company. The Company may shall have the right to terminate the Executive’s employment at any time during the Term hereunder without Cause by delivering to providing at least ninety (90) calendar days’ prior written notice thereof. If the Executive’s employment is terminated by the Company without Cause, the Company shall pay the Executive the following items to be constituted as a Notice of Termination 6 months in advance of whole as a severance package (the date of termination; provided that as part of such notice the Company may request that the Executive immediately tender the resignations contemplated by Section 4.8 and otherwise cease performing his duties hereunder.
