Termination Without Cause, For Good Reason or Upon a Change of Control. Upon (i) the occurrence of the first event constituting a Change of Control (the "Change of Control Date") and the termination or non-renewal of Executive's employment during the Severance Period (other than for Cause) or (ii) if the Executive's employment is terminated (x) by the Company without Cause, (y) by reason of Disability or (z) by the Executive for Good Reason (any event specified in the foregoing clauses (i) or (ii), a "Severance Event"), the Company shall pay or provide to the Executive the following:
