Common use of Termination without Cause or by the Participant for Good Reason Clause in Contracts

Termination without Cause or by the Participant for Good Reason. All vesting of Class B Profits Interest Units will cease immediately upon a Participant’s termination of employment by the Employer without Cause or by the Participant for Good Reason and all unvested Class B Profits Interest Units will be automatically cancelled without consideration and forfeited on such date except that, in the event that a transaction or transactions is consummated within the 6 month period following such a termination of employment which would have resulted in vesting of any portion of the Time Vesting Interests and Performance Vesting Interests, the Participant shall be deemed vested in those interests.
