Termination without Cause or Resignation for Good Reason and not in Connection with a Change in Control. If (x) the Company terminates Executive’s employment with the Company for a reason other than for Cause, Executive becoming Disabled or Executive’s death or (y) Executive resigns from such employment for Good Reason at any time other than during the twelve (12)-month period immediately following a Change in Control, then, subject to Section 7, Executive will receive the following severance benefits from the Company:

If (x) the Company terminates Executive’s employment with the Company for a reason other than for Cause, Executive becoming Disabled or Executive’s death or (y) Executive resigns from such employment for Good Reason (as defined below) at any time other than during the twelve (12)-month period immediately following a Change in Control, then, subject to Section 7, Executive will receive the following severance benefits from the Company:

If at any time during the term of Executive’s employment, except during the pe- riod set forth in Section 3(a) hereof in which case Section 3(a) applies, (x) the Company terminates Executive’s employment with the Company for a reason other than for Cause, Executive becoming Disabled Dis- abled or Executive’s death death, or (y) Executive resigns from such employment for Good Reason at any time other than during the twelve (12)-month period immediately following a Change in ControlReason, then, subject to Section 74, Executive will receive the following severance benefits from the Company:
