Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If during the period commencing three (3) months before and ending twelve (12) months after a Change of Control, (1) Executive terminates his employment with the Company (or any Affiliate) for Good Reason or (2) the Company (or any Affiliate) terminates Executive’s employment for other than Cause, Executive becoming Disabled or Executive’s death, then, subject to Section 4, Executive will receive the following severance from the Company:

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If during the period commencing three (3) months before and ending Company or its Affiliates terminate Executive’s employment with the Company or its Affiliates, respectively, without Cause or Executive resigns from such employment for Good Reason within twelve (12) months after following a Change of Control, (1) and Executive terminates his employment signs and does not revoke a separation agreement and release of claims with the Company (or any Affiliate) for Good Reason or (2) in a form acceptable to the Company (or any Affiliate) terminates Executive’s employment for other than CauseCompany), Executive becoming Disabled or Executive’s death, then, subject to Section 4, then Executive will receive the following severance from the Company:

If during the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period commencing beginning three (3) months before before, and ending twelve (12) months after following, a Change of Control, (1) and Executive terminates his employment signs and does not revoke a release of claims with the Company (or any Affiliatein a form reasonably acceptable to the Company) for Good Reason or (2) and provided that such release of claims becomes effective no later than the Company (or any Affiliate) terminates Executive’s employment for other than CauseRelease Deadline, Executive becoming Disabled or Executive’s death, then, then subject to this Section 43, Executive will receive the following severance from the Companyfollowing:

If during the period commencing three (3) months before Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and ending such termination occurs on or within twelve (12) months after a Change of Control, (1) Executive terminates his employment with the Company (or any Affiliate) for Good Reason or (2) the Company (or any Affiliate) terminates Executive’s employment for other than Cause, Executive becoming Disabled or Executive’s death, then, then subject to Section 4, Executive will receive the following severance from the Companyfollowing:

If the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs during the period commencing three (3) months before and ending that is on or within twelve (12) months after a Change of Control, (1) and Executive terminates his employment signs and does not revoke a separation agreement and release of claims with the Company (or any Affiliate) for Good Reason or (2) in substantially the Company (or any Affiliate) terminates Executive’s employment for other form attached hereto as Exhibit A and effective no later than CauseMarch 15 of the year following the year in which the termination occurs), Executive becoming Disabled or Executive’s death, then, subject to Section 4, then Executive will receive the following severance from the Company:

If during the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period commencing beginning three (3) months before and ending twelve (12) months after a Change of Control, (1) and Executive terminates his employment signs and does not revoke a release of claims with the Company as required by Section 4 and resigns as a member of the Board, if applicable, effective no later than thirty (or any Affiliate30) for Good Reason or (2) the Company (or any Affiliate) terminates days following Executive’s employment for other than Causetermination, Executive becoming Disabled or Executive’s death, then, subject to Section 4, then Executive will receive the following severance from the Company:

If during the period commencing three (3) months before and ending twelve (12) months after a Change of Control, (1i) Executive terminates his or her employment with the Company (or any Affiliate) for Good Reason or (2ii) the Company (or any Affiliate) terminates Executive’s employment for other than Cause, Executive becoming Disabled or Executive’s death, then, subject to Section 4, Executive will receive the following severance from the Company:

If during the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period commencing beginning three (3) months before and ending twelve (12) months after a Change of Control, (1) and Executive terminates his employment signs and does not revoke a release of claims with the Company (or any Affiliate) for Good Reason or (2) in a form reasonably acceptable to the Company (or any Affiliate) terminates Executive’s employment for other and substantially similar to the form attached hereto as Exhibit A and effective no later than CauseMarch 15 of the year following the year in which the termination occurs), Executive becoming Disabled or Executive’s death, then, subject to Section 4, then Executive will receive the following severance from the Company:

If during the Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and such termination occurs within the period commencing beginning three (3) months before and ending twelve (12) months after a Change of Control, (1) and Executive terminates his employment signs and does not revoke a release of claims with the Company (or any Affiliate) for Good Reason or (2) in a form reasonably acceptable to the Company (or any Affiliate) terminates and effective no later than the 60th day following the Executive’s employment for other than Causetermination date), Executive becoming Disabled or Executive’s death, then, subject to Section 4, then Executive will receive the following severance from the Company:

If during the period commencing three on or within six (36) months before and ending twelve (12) months after following a Change of Control, (1i) Executive terminates his Executive’s employment with is terminated by the Company (or any Affiliateparent, subsidiary or successor of the Company) without Cause or (ii) Executive resigns for Good Reason or (2) Reason, and Executive signs and does not revoke the Company (or any Affiliate) terminates Executive’s employment for other than Cause, Executive becoming Disabled or Executive’s death, then, subject to release of claims required by Section 45, Executive will receive the following severance benefits from the Company:

If during the period commencing three Company terminates Executive’s employment with the Company without Cause, or if Executive resigns from such employment for Good Reason, and such event occurs on or within twenty-four (3) months before and ending twelve (1224) months after a Change of Control, (1) Executive terminates his employment with the Company (or any Affiliate) for Good Reason or (2) the Company (or any Affiliate) terminates Executive’s employment for other than Cause, Executive becoming Disabled or Executive’s death, then, then subject to Section 47, Executive will receive the following severance from the Companyfollowing:

If during the period commencing three (3) months before Company terminates Executive’s employment with the Company without Cause or if Executive resigns from such employment for Good Reason, and ending such termination occurs on or within twelve (12) months after a Change of Control, (1) and Executive terminates his employment signs and does not revoke a release of claims with the Company (or any Affiliatein a form reasonably acceptable to the Company) for Good Reason or (2) that is effective no later than March 15 of the Company (or any Affiliate) terminates Executive’s employment for other than Causeyear following the year in which the termination occurs, Executive becoming Disabled or Executive’s death, then, subject to Section 4, then Executive will receive the following severance from the Company:

If at any time during the term of Executive’s employment for the six (6) month period commencing three (3) months before and ending twelve (12) months after prior to a Change of Control, in Control or the eighteen (118)-month period immediately following a Change in Control (x) Executive the Company terminates his Executive’s employment with the Company (or any Affiliate) for Good Reason or (2) the Company (or any Affiliate) terminates Executive’s employment for a reason other than Cause, Executive becoming Disabled or Executive’s death, or (y) Executive resigns from such employment for Good Reason, then, subject to Section 4, Executive will receive the following severance benefits from the Company:
