Common use of Termination without Cause or Resignation for Good Reason in Connection with a Change of Control Clause in Contracts

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company or its Affiliates terminate Executive’s employment with the Company or its Affiliates, respectively, without Cause or Executive resigns from such employment for Good Reason within twelve (12) months following a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form acceptable to the Company), then Executive will receive the following severance from the Company:

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs within the period beginning three (3) months before, and ending twelve (12) months following following, a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form reasonably acceptable to the Company)) and provided that such release of claims becomes effective no later than the Release Deadline, then subject to this Section 3, Executive will receive the following severance from the Companyfollowing:

If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs on or within twelve (12) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form acceptable then subject to the Company)Section 4, then Executive will receive the following severance from the Companyfollowing:

If during the Company or its Affiliates terminate Executive’s employment with the Company or its Affiliates, respectively, without Cause or Executive resigns from such employment for Good Reason within period commencing three (3) months before and ending twelve (12) months following after a Change of Control, and (i) Executive signs and does not revoke a separation agreement and release of claims terminates his or her employment with the Company (in a form acceptable or any Affiliate) for Good Reason or (ii) the Company (or any Affiliate) terminates Executive’s employment for other than Cause, Executive becoming Disabled or Executive’s death, then, subject to the Company)Section 4, then Executive will receive the following severance from the Company:

If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs during the period that is on or within twelve (12) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a substantially the form acceptable to attached hereto as Exhibit A and effective no later than March 15 of the Companyyear following the year in which the termination occurs), then Executive will receive the following severance from the Company:

If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs within the period beginning three (3) months before and ending twelve (12) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company as required by Section 4 and resigns as a member of the Board, if applicable, effective no later than thirty (in a form acceptable to the Company)30) days following Executive’s termination, then Executive will receive the following severance from the Company:

If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs within the period beginning three (3) months before and ending twelve (12) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form reasonably acceptable to the CompanyCompany and substantially similar to the form attached hereto as Exhibit A and effective no later than March 15 of the year following the year in which the termination occurs), then Executive will receive the following severance from the Company:

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs within the period beginning three (3) months before and ending twelve (12) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form reasonably acceptable to the CompanyCompany and effective no later than the 60th day following the Executive’s termination date), then Executive will receive the following severance from the Company:

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company or its Affiliates terminate terminates Executive’s employment with the Company without Cause, or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such event occurs on or within twelve twenty-four (1224) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form acceptable then subject to the Company)Section 7, then Executive will receive the following severance from the Companyfollowing:

Termination without Cause or Resignation for Good Reason in Connection with a Change of Control. If the Company on or its Affiliates terminate Executive’s employment with the Company or its Affiliates, respectively, without Cause or Executive resigns from such employment for Good Reason within twelve six (126) months following a Change of Control, (i) Executive’s employment is terminated by the Company (or any parent, subsidiary or successor of the Company) without Cause or (ii) Executive resigns for Good Reason, and Executive signs and does not revoke a separation agreement and the release of claims with the Company (in a form acceptable to the Company)required by Section 5, then Executive will receive the following severance benefits from the Company:

If the Company or its Affiliates terminate terminates the Executive’s employment with the Company or its Affiliates, respectively, without Cause or if the Executive resigns from such employment for Good Reason Reason, and such termination occurs on or within twelve twenty-four (1224) months following after a Change of Control, and the Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form reasonably acceptable to the Company)) and provided that such release of claims becomes effective no later than the Release Deadline, then subject to this paragraph 10, Executive will shall receive the following severance from the Companyfollowing:

If the Company or its Affiliates terminate terminates Executive’s employment with the Company or its Affiliates, respectively, without Cause or if Executive resigns from such employment for Good Reason Reason, and such termination occurs on or within twelve (12) months following after a Change of Control, and Executive signs and does not revoke a separation agreement and release of claims with the Company (in a form reasonably acceptable to the Company)) that is effective no later than March 15 of the year following the year in which the termination occurs, then Executive will receive the following severance from the Company:
