Termination Without Cause or Resignation for Good Reason Unrelated to Change of Control. If (i) Executive’s employment with the Company is terminated by the Company without Cause (other than as a result of Executive’s death or Disability, or (ii) Executive resigns for Good Reason (as defined below), then, subject to compliance with the Release Requirement, and provided such termination or resignation constitutes a Separation from Service, Executive will be eligible to receive the following severance benefits, to be paid as soon as practical following the Release Effective Date:
