Terminations and Releases. (a) Upon or prior to the Acquisition Closing, the Company shall deliver to SPAC evidence reasonably satisfactory to SPAC of the terminations, each effective as of the Acquisition Closing, of the Company Voting Agreement, the Investors’ Rights Agreement, the Right of First Refusal and Co-Sale Agreement, and except as set forth in Section 4.20(c) of the Company Disclosure Schedule, each Side Letter Agreement.
(b) Upon or prior to the Acquisition Closing, the Company shall deliver to SPAC evidence reasonably satisfactory to SPAC of the release of all Liens (other than Permitted Liens) set forth in Section 7.22(b) of the Company Disclosure Schedule, including appropriate UCC termination statements.
Terminations and Releases. CAA, by and on behalf of itself and its respective predecessors, successors and assigns, hereby (a) terminates the Line of Credit, the Loan Agreement, the Loan Note and the Security Agreement and any rights of CAA thereunder and fully, finally and forever releases and discharges the obligations of AC under the Line of Credit, the Loan Agreement, the Loan Note and the Security Agreement, and (ii) terminates the Stock Pledge and any rights of CAA thereunder and fully, finally and forever releases and discharges the obligations of AA under the Stock Pledge.
Terminations and Releases. On the Closing Date, the Company shall deliver to Parent a release of the Company from any fees or expenses payable to (a) ▇▇▇▇▇▇▇ ▇▇▇▇▇ & Co. under the Engagement Letter, dated July 20, 2016, between the Company and ▇▇▇▇▇▇▇ ▇▇▇▇▇ & Co. and (b) H.I.G. Capital, LLC under the Advisory Services Agreement, dated March 18, 2011, between the Company and H.I.G. Capital, LLC.
Terminations and Releases. On or prior to the Delivery Date, Lessor shall have received (i) a copy of UCC termination statements with respect to the Liens arising under or related to the Dal-Tex Lease or the Dal-Tex Security Agreement executed by the appropriate secured party thereunder and (ii) copies of releases by such secured party releasing all right, title and interest acquired by such secured party under either the Dal-Tex Lease or the Dal-Tex Security Agreement.
Terminations and Releases. Buyer shall have received evidence reasonably satisfactory to Buyer of the payment and satisfaction of all indebtedness and liabilities of the Sellers in respect of borrowed money, together with duly executed UCC-3 termination statements, mortgage releases and such other releases and termination statements, including, without limitation, lender payoff letters, as Buyer shall reasonably request in connection with the release of any Encumbrances from the Acquired Assets.
