Terms MFN. The Parent shall, and shall cause its Subsidiaries to, comply with (a) all negative covenants (including financial covenants) set forth in any agreement, instrument or other document relating to Indebtedness (if any) of the Parent or any of its Subsidiaries, in each case as in effect on the Closing Date and without giving effect to any amendment, modification or waiver and (b) all negative covenants set forth in any agreement, instrument or other document relating to Indebtedness (if any) of the Parent or any of its Subsidiaries that may be entered into after the Closing Date.
